1. BRIEF OVERVIEW OF "DEADLY INTENT INSTANT WIN & SWEEPSTAKES" (hereinafter sometimes referred to as the "Promotion"): The Promotion consists of an on-line Instant Win Investigation (the "Investigation") and a Sweepstakes ("Sweepstakes"). The Promotion starts at 12:00 A.M., ET on 10/14/09 and ends at 11:59:59 P.M., ET on 1/18/10 ("Promotion Period"). After you have successfully registered atwww.deadlyintentgame.com, once each day that you sign on to the website during the Promotion Period, you will receive one (1) opportunity to participate in the Investigation (sometimes referred to as "Investigation Play ") and if, after you have participated in the Investigation, you play the Deadly Intent Crime Game ("Crime Game") and properly identify the correct suspect as the murderer ("Correct Suspect"), you will receive one (1) entry into the Sweepstakes. Although you must properly identify the Correct Suspect in order to receive a Sweepstakes entry, whether or not you properly identify the Correct Suspect does not affect your chances of being an Investigation Winner. Although you can identify the Correct Suspect without the use of viral tools ("Tools"), you may wish to use these Tools to unlock pieces of evidence or eliminate suspects that will speed up your play of the Crime Game. The potential Grand Prize Winner of the Sweepstakes will be selected from among the total number of all eligible Sweepstakes entries received during the Promotion Period. A day will be deemed to start at 12:00 A.M., ET and end at 11:59:59 P.M. of that calendar day. The computer of PrizeLogic LLC ("PrizeLogic"), the independent agency administering this Promotion, shall be deemed to be the official Game clock.
2. ELIGIBILITY: The Promotion is open only to legal residents of the fifty (50) United States and District of Columbia). IMPORTANT: To be eligible to enter and to win the Instant Win Investigation and Daily Sweepstakes portions of this Promotion, an entrant must be at least eighteen (18) years old as of 10/14/09; however, to be eligible to participate in and to win the Grand Prize Sweepstakes portion of this Promotion, an entrant must be at least twenty-one (21) years old as of 10/14/09. Persons who are officers, directors, employees and independent contractors (and members of household or their immediate family, i.e. spouse, parent, child, or sibling, the "steps" of each and their household members) of Ubisoft, Inc. ("Sponsor"), Inc. CBS Broadcasting Inc., Paramount, MGM, MIRAGE, their respective parent companies, affiliates, subsidiaries, advertising, promotion and web design agencies, including PrizeLogic, Nomadic, and their respective parent companies, affiliates, and subsidiaries ("Sponsor & Others") and other individuals/entities associated with this Promotion are not eligible to enter or win.
3. INSTANT WIN INVESTIGATION: (A) HOW TO ENTER/PARTICIPATE: Go to www.deadlyintentgame.com ("website"), and register by completing all of the requested information, e.g., your name, complete street address (P.O. Boxes will not be accepted), gender, date of birth, phone number, valid email address and answering the brief survey questions. Once you have successfully registered, you may return once each day during the Promotion Period to the website and enter your password and valid email address for another opportunity to play the Instant Win Investigation and follow the instructions to identify the Correct Suspect in order to earn one (1) entry into the Sweepstakes. (B) WINNING INVESTIGATION PLAYS: To be a potential Investigation Winner of an indicated Investigation Prize, your Investigation Play must have occurred either at the exact randomly predetermined winning time as determined by Sponsor and/or PrizeLogic, or if no Investigation Play has occurred at the exact randomly predetermined winning time, it must be the Investigation Play that occurred at the closest time immediately following the randomly predetermined winning time. WHETHER OR NOT YOU HAVE IDENTIFIED THE CORRECT SUSPECT DOES NOT IN ANY MANNER DETERMINE WHETHER YOU ARE A POTENTIAL INSTANT WIN INVESTIGATION WINNER. All winning Investigation Plays and winners are subject to verification and compliance with these Official Rules as determined by PrizeLogic, whose decisions are final and binding in all matters pertaining to this Promotion. Limit: Only one (1) Instant Win Investigation Prize per person or household. (C) PRIZES/ODDS OF WINNING: Regardless of Prize won, it must be accepted as awarded and is not redeemable for cash, transferable or substitutable, except by Sponsor in its sole discretion with one of comparable or greater value. Sponsor reserves the right to substitute a cash award in lieu of any specific prize listed herein. All costs not specifically included herein, are solely each Investigation Winner's responsibility. The odds of winning an Investigation Prize depend on the total number of eligible entries received and the date and time the entry is received.

   Additional Information Regarding Instant Win Investigation Prizes: Total approximate retail value of all Investigation Prizes available to be won: $11,654.78. Limit: One (1) Investigation Prize per person or household address regardless of email address. After the Winner eligibility verification process is satisfactorily completed, Investigation Prizes will be mailed to the respective Winner's residential address as provided upon registration. All Investigation Winners must comply with the provisions of Rule 6 below.
4. HOW TO EARN A SWEEPSTAKES ENTRY: Each day after you have participated in the Investigation, you can follow the instructions to play the Crime Game to identify the Correct Suspect. By properly identifying the Correct Suspect, you will automatically earn one (1) entry into the Sweepstakes. You may wish to use one (1) or more of the Tools listed below to unlock a piece of evidence (a "Clue") or to eliminate a suspect to help you more quickly identify the Correct Suspect; however, you can solve the crime and identify the Correct Suspect without the use of any of the Tools. The use of a Tool(s) will in no way affect your chance of winning the Sweepstakes Prize. You can use the Tools as follows:
   1. Facebook®: You will automatically receive one (1) Clue each day that you play the Game by clicking on the Facebook icon in the "Unlock Panel" and logging onto your Facebook account. If you do not already have a Facebook account, go to www.facebook.com and follow the registration instructions.
   2. Twitter®: You will automatically receive one (1) Clue each day that you play the Game by clicking the Twitter icon in the "Unlock Panel", logging onto your Twitter account and following @deadlyintentgame.com. If you do not already have a Twitter account, go to www.twitter.com and follow the registration instructions. NOTE: If you elect to receive Twitter™ messages on your mobile phone, Message and Data Rates May Apply.
   3. Tell-A-Friend: You will receive one (1) Clue each day that you play the Game by referring one (1) friend with whom you have an existing relationship and who you think would be interested in receiving an email regarding participation in this Promotion. Limit: You may only refer one (1) friend each day.
   4. Newsletter Opt-in: If at the time you register to play the Game, you elect to receive newsletters from Sponsor, CBS and Paramount, you will automatically receive one (1) Clue each day that you play the Game by clicking the "Mail" icon in the "Unlock Panel." If you have not elected to receive all three (3) newsletters at the time you registered, you will still have the opportunity during your Game Plays to receive one (1) Clue for use during that day's Game Play by electing to receive either one (1) or two (2) newsletters. At any time that you have elected to receive a total of the three (3) newsletters, you will thereafter automatically receive one (1) Clue each day that you play the Game by clicking the "Mail" icon in the "Unlock Panel."
   5. Mobile Sign Up: Sponsor will send you an SMS text message with the name of a suspect in the Game that you can quickly eliminate if you have texted the Keyword displayed on the Game screen to the short code 87963. In order to receive an "Eliminate Suspect Message", you must agree to receive a maximum of two (2) alert text messages from Ubisoft regarding product news and offers. You must be a wireless service subscriber with two-way capable text-messaging service, using a participating service provider. You may opt-out at anytime by texting STOP to 87963. NOTE: Message and Data Rates May Apply. Please consult your wireless service providing regarding its pricing plans. Not all cellular phone providers carry the necessary service to participate. Please check your phone's capabilities for specific text-messaging instructions.
5. GRAND PRIZE SWEEPSTAKES PRIZE/RANDOM DRAWING/ODDS OF WINNING: (A) Random Drawing: On or about 1/25/10, the name of the potential Grand Prize Sweepstakes Winner ("Sweepstakes Winner") will be selected in a random drawing conducted by PrizeLogic from among the total number of all eligible Sweepstakes entries received during the Promotion Period. The potential Sweepstakes Winner will be notified by email, postal mail or courier on or about 2/1/10. (B) Prize: The Sweepstakes Winner will receive a CSI Experience Trip to Las Vegas, NV ("Trip") for two consisting of roundtrip coach airfare for two from the major international airport nearest the Sweepstakes Winner's residence to McCarran National Airport, Las Vegas, NV, ground transportation to and from airport to hotel; two (2) nights/three (3) days hotel accommodations (one standard room, double occupancy) at the MGM Grand® Hotel; a tour of the CSI: The ExperienceTM Museum accompanied by a writer of the CSI television program (subject to the availability of a writer) and a total of Seven Hundred Fifty Dollars ($750) spending money. (Total ARV: $2,200) If the actual retail value of the Trip is less than stated Total Approximate Retail Value, the Sweepstakes Winner will not receive difference between actual retail value and Total Approximate Retail Value. All expenses not specified above, such as meals, beverages, mini-bar, entertainment, casino, telephones, souvenirs, and gratuities, insurance, personal or spa services, etc., are solely the Sweepstakes Winner's responsibility. All accommodations and reservations will be as arranged by Sponsor and are subject to advance notice, holiday black-out dates and availability. Trip must be completed prior to 12/1/10. Other Trip restrictions may apply. The Sweepstakes Winner and guest must possess required travel documents and must travel together on same itinerary. Sponsor has no responsibility for lost, stolen, misplaced or mutilated tickets and/or travel documents, baggage, flight delays, or any other occurrences beyond its control. Sponsor has no responsibility for the Sweepstakes Winner's inability or failure to accept or utilize the Grand Prize as described herein or for the guest's inability to utilize the Grand Prize. The Sweepstakes Winner's guest must be 21 years old in his/her state of residence unless the Sweepstakes Winner is the guest's parent, legal guardian or spouse. The potential Sweepstakes Winner will be required to sign and return a notarized Affidavit of Eligibility/Compliance and Publicity/Liability Release, where allowed by law, and such other documents as may be reasonably requested by Sponsor. The Sweepstakes Winner will be issued a Form 1099 for tax purposes in the amount of the actual retail value of the Trip and the Sweepstakes Winner must submit his/her Social Security Number, as required by law. All federal, state and local taxes are solely the responsibility of the Sweepstakes Winner. The Grand Prize is not transferable or substitutable except by Sponsor with one of equal or greater value. An Investigation Winner is eligible to be selected as the Sweepstakes Winner. (C) DISQUALIFICATION: Sponsor may, in its sole discretion, disqualify and select an alternate potential Sweepstakes Prize Winner if: (a) the potential Sweepstakes Prize Winner fails to respond to notification within the time specified by Sponsor; (b) the return of notification as undeliverable; (c) a potential Sweepstakes Prize Winner's failure to provide Sponsor with satisfactory proof of age, identity and residency; (d) a potential Sweepstakes Prize Winner's failure to execute and return an Affidavit of Eligibility/Compliance (including, without limitation, providing his/her respective Social Security Number for tax purposes) and a Liability/Publicity Release by the return date specified by Sponsor, regardless of the cause of such failure; (e) the potential Sweepstakes Prize Winner's failure to be available to complete the Trip within the time period set forth herein; (f) the potential Sweepstakes Winner's guest's failure to execute and return a Liability/Publicity Release by the return date specified by Sponsor, regardless of the cause of such failure; or (g) any other non-compliance with the Official Rules. (D) ODDS OF WINNING: Odds of winning the Grand Prize depend upon the total number of eligible Sweepstakes entries received during the Promotion Period.
6. CONDITIONS: (A) Compliance with Rules: By participating, participants: (i) acknowledge compliance with these Official Rules including all eligibility requirements and, (ii) agree to be bound by the decisions of the Sponsor and/or PrizeLogic, as made in their sole discretion, which shall be final and binding in all matters relating to this Promotion. Participants who have not complied with these Official Rules are subject to disqualification. (B) Conditions: Allow six (6) to eight (8) weeks for verification and shipment of your prize after verification. Sponsor & Others shall not be held responsible for any delays in awarding prizes for any reason outside of their control. Prizes will only be delivered to verified winners. Prizes will be delivered only to street addresses in the 50 United States or Washington, D.C. Prizes will not be delivered to P.O. boxes. Unclaimed prizes will not be awarded. If a potential winner is found to be ineligible, declines to accept a prize or Sponsor is unable to contact a potential winner within a reasonable period (as determined by Sponsor), or in the event that a prize confirmation or prize is returned undeliverable, the prize will be forfeited. Prizes pictured in point-of-sale, online, television and print advertising, promotional packaging, and other Promotion materials are for illustrative purposes only and may differ from the actual prizes awarded. All details and restrictions on prizes and prize use not set forth in these Official Rules will be determined by Sponsor in its sole discretion and will be provided to the applicable Prize Winner upon verification and award of the prize. Prizes will be awarded only if a participant meets all eligibility requirements and fully complies with these Official Rules. If there is a difference between the approximate and actual retail values of any Prize, the Winner is not entitled to the difference in value. Total ARV of all Instant Win Game and Sweepstakes Prizes: $13,854.78.
7. INTERNET/LIMITATIONS OF LIABILITY: Sponsor & Others are not responsible for interrupted or unavailable network server or other connections; for miscommunications; failed telephone or computer transmissions; for jumbled, scrambled or misdirected entries or transmissions; for phone, electrical, network, computer hardware or software or program malfunctions, failures or difficulties; for other errors, omissions, interruptions, or deletions of any kind, whether human, typographical, mechanical or electronic; or for any damage to any person's computer related to participating in the Promotion. Sponsor & Others are not responsible for illegible, unintelligible, late, lost or stolen entries; for incorrect or inaccurate entry information, whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Promotion; or for any technical, typographical or human errors which may occur in the processing of any entries in or the administration of the Promotion. Persons found tampering with, abusing any aspect of the Promotion or acting in an unsportsmanlike manner, as solely determined by Sponsor, will be disqualified and may be subject to prosecution. Any use of robotic, automatic, macro, programmed, third party or like methods to participate in the Promotion will void any attempted participation effected by such methods and the disqualification of the individual utilizing the same. Any person attempting to enter using multiple email addresses, multiple identities or any other device or artifice to enter multiple times or to interfere with the proper play of the Promotion will be disqualified from participation in the Promotion. If in the judgment of Sponsor, the Promotion is compromised by viruses, bugs, non-authorized human intervention or other causes which corrupt the administration, security, fairness or proper play of the Promotion, Sponsor reserves the right, in its sole discretion, to discontinue, suspend, modify or terminate the Promotion and proceed to select potential Winners in a manner it deems fair and reasonable including, without limitation, the selection of potential Winners in a random drawing from among eligible entries received prior to any such discontinuation, suspension, modification or termination. Any personally identifiable information collected during an entrant's participation in this Promotion will be collected by Sponsor or its designee and used by Sponsor and designees for purposes of the proper administration, fulfillment, publicizing and promotion of the Promotion as described in these Official Rules, as stated in Sponsor's Privacy Policy at http://ubi.com/US/Info/Info.aspx?tagname+PrivacyPolicy or as otherwise expressly consented to by entrant during any separate opt-in opportunity provided to entrant during entry into the Promotion. If an entrant does not fully agree to the terms of the Privacy Policies, such entrant should not provide any personal information on the website or enter the Sweepstakes on-line. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. In no event will more Prizes be awarded than are as stated in these Official Rules. In the event that production, technical, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to conduct a random drawing to award the stated number of prizes from among all eligible claimants. Sponsor has no responsibility for any late, lost, illegible, undeliverable/undelivered or postage due entries or mail. SPONSOR & OTHERS MAKE NO WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT AS REGARDS THE GRAND PRIZE OR ANY COMPONENT OF THE GRAND PRIZE. 8. PUBLICITY RIGHTS: By accepting a Prize, each Winner agrees to allow Sponsor and/or Sponsor's designees the perpetual right to use his/her name, biographical information, photos and/or likeness, and statements for promotion, trade, commercial, advertising and publicity purposes, at any time or times, in all media now known or hereafter discovered, world wide, including but not limited to on the World Wide Web and Internet, without notice, review or approval and without additional compensation except where prohibited by law.
9. DISPUTES: By participating in the Promotion, participants agree that: except as otherwise specifically set forth in these Official Rules, any action arising out of or relating to these Official Rules or the rights and obligations of any participant and/or Sponsor shall be filed exclusively in the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; and participants hereby consent and submit to the personal jurisdiction of such court for the purposes of litigating any such action, and any right to a trial by jury is hereby waived; any and all disputes, claims, and causes of action arising out of or connected with these Official Rules, and/or the rights and obligations of any participant and/or Sponsor shall be resolved individually, without resort to any form of class action; any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred and in no event will participants be entitled to receive attorneys' fees or other legal costs; under no circumstances will participants be permitted to obtain injunctive or other equitable relief and a participant's sole remedy will be an action at law for damages to the extent allowed by these Official Rules; and under no circumstances will participants be permitted, and participants hereby waive all rights, to: claim punitive, exemplary, special, incidental, indirect and consequential damages and any other damages (whether due to negligence or otherwise), other than for actual out-of pocket costs described in above; or have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any participant and/or Sponsor shall be governed by and construed in accordance with the laws of the State of Michigan without giving effect or regard to any principles or doctrines of conflicts of law of the State of Michigan or any other jurisdiction. If any provision or provisions of these Official Rules shall be held to be invalid, illegal, unenforceable or in conflict with the law of any jurisdiction, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.
10. RELEASE: By participating, each participant releases and agrees: (a) to indemnify and hold harmless Sponsor & Others and each of their officers, directors, employees and agents from and against any and all costs, claims, damages, or any other injury, whether due to negligence or otherwise, to person(s) or property (including, without limitation, death or violation of any personal rights, such as violation of right of publicity/privacy, libel, or slander), due in whole or in part, directly or indirectly, to participation in the Promotion, or arising out of participation in any Promotion-related activity or travel-related activity whether hosted by Sponsor & Others or a third party, or the receipt, use or misuse, of any travel or activity-related thereto; (b) all causes of action arising out of or connected with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action; (c) that under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; and (d) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, excluding attorneys' fees and court costs.
11. GENERAL: By entering the Promotion, participants agree to abide by these Official Rules throughout the Promotion Period. The Promotion is subject to all applicable federal, state and local laws. Void outside of the 50 United States and District of Columbia and wherever prohibited or restricted by law.
12. WINNERS LIST: To obtain a list of Winners, send a properly stamped self-addressed envelope, by 2/ 22/10, to Deadly Intent Winners List, 35610 Mound Road, Dept #900, Sterling Heights, MI 48310-4725. Winners' names will be sent after prizes have been awarded to verified Winners.
